The following is a Company Announcement issued by GlobalCapital plc (“the Company”) in terms of the Listing Rules issued by the Listing Authority

As previously announced the Company will hold its forthcoming Annual General Meeting (“AGM”) tomorrow Wednesday 26 June 2019.

The Company announces that no nominations in writing of candidates for the election of directors to take place at the forthcoming AGM were received from its members by the 12 June 2019, being the deadline announced by the Company for receiving nominations of directors from its members.

In terms of the Articles of Association of the Company, directors retire at the forthcoming AGM and may offer themselves for re-election.

The directors that offer themselves for re-election at the forthcoming AGM appear in the list hereunder:

1. Paolo Catalfamo

2. Joseph C. Schembri

3. Joseph Del Raso

4. Cinzia Catalfamo-Akbaraly

5. Gregory Eugene McGowan
